Zinlight Academy Partner Program — Terms of Use

1) Definitions

“Zinlight,” “we,” “us,” “our” means Zinlight Academy (Zinlight Ventures) and its affiliates.

“Partner,” “you,” “your” means the individual or entity applying to or participating in the Program.

“Referral Link” means your unique tracking link provided by our Program software.

“Qualifying Transaction” means a valid purchase of a Zinlight membership or plan completed by a customer who arrives via your Referral Link and is tracked by our system.

“Commission” means compensation payable to you under Section 4.

2) Enrollment & Approval

Participation is by application. We may approve or reject any application at our sole discretion. We may rescind approval later if we determine your site, channels, or conduct are unsuitable or violate this Agreement. There is no legal recourse for rejected applications.

3) Independent Contractor

You participate as an independent contractor, not as an employee, agent, joint venturer, or franchisee of Zinlight. You may not speak on behalf of Zinlight or bind us to agreements.

4) Commission & Payment

4.1 Commission Rate (single tier)

• You earn 25% of the price actually paid by the customer for each Qualifying Transaction you directly refer.
• Recurring plans: Commission is earned on each successful renewal while the subscriber remains active.
• One-time plans: Commission is earned once per completed transaction.

4.2 Non-Qualifying Transactions

No Commission is earned on: (a) orders that are cancelled, refunded, or charged back; (b) fraudulent, test, or duplicate transactions; (c) your own purchases or those made by your household, employees, or accounts you control (self-referrals are strictly prohibited).

4.4 Payout Schedule & Method

• Commissions for eligible transactions are processed monthly (generally at month-end).
• You must have a valid, verified payout method in your Partner account.
• If a payout cannot be completed due to incomplete or invalid information, the payment will be deferred until corrected.

4.5 Minimum Activity Requirement

Before your first payout, you must achieve at least five (5) sales from Qualifying Transactions. After that, standard monthly payouts apply.

4.6 Taxes, Fees & Currency

You are responsible for any taxes, fees, exchange costs, or compliance obligations arising from your earnings. Payouts are made in the currency/method we support and may be converted at prevailing rates.

5) Tracking & Attribution

• Referrals are tracked by our Program software using your Referral Link and related technical mechanisms (e.g., cookies or similar).
• In case of discrepancies, our system records will control.
• Any attempt to manipulate tracking (including cookie stuffing, forced clicks, auto-redirects, or hidden iframes) is prohibited and will forfeit commissions and may result in termination.

6) Acceptable Promotion & Compliance

You must comply with all applicable laws and platform rules, including advertising disclosure requirements (e.g., “I may earn a commission if you subscribe.”), privacy and data laws, anti-spam laws, and child-online safety requirements.

Allowed examples: your website/blog, email newsletters (opt-in only), social media (WhatsApp, Facebook, Instagram, X/Twitter, LinkedIn), and offline materials with a QR to your Referral Link.

Prohibited conduct includes (without limitation):

• Self-referrals or orders placed by you, your household, employees, or accounts you control.
• Misleading or false claims; spam; intrusive messaging; promoting illegal or harmful content.
• Unapproved coupons, rebate/kickback promises, or “cashback” offers.
• Misuse of our trademarks or brand; impersonation of Zinlight; creating domains or social handles deceptively similar to ours.
• PPC/paid search using our brand names or misspellings, or bidding on terms such as “Zinlight coupon/discount,” without prior written permission.
• Pop-ups, pop-unders, iframes, auto-cookie setting, or any device that sets cookies without clear informed user action.
• Installing malware, adware, spyware, or any tool that intercepts or hijacks traffic.

7) Brand Use & Content

You may use our approved logos, banners, and text we provide, unaltered, for the sole purpose of promoting Zinlight. We may require you to remove or modify any usage at any time. You may not claim sponsorship or endorsement outside the Program or represent yourself as our employee or agent.

8) Coupon & Deal Policy

• Only coupons explicitly issued to you or published by Zinlight may be promoted.
• You may not suggest or imply unapproved discounts, or use “Zinlight coupon/discount/promo code” bait in titles or ads.
• You may not set cookies via coupon-revealer scripts without user action.

Violation can result in reversal of commissions and/or termination.

9) Term, Suspension & Termination

This Agreement begins upon our approval of your application and continues until terminated. We may suspend or terminate your participation at any time, with or without cause, including for any breach or suspected fraud. Upon termination, you must stop using our brand assets and remove all Referral Links. Commissions for valid, pre-termination Qualifying Transactions will be paid per Section 4, subject to reversals/refunds.

10) Reversals, Refunds & Adjustments

If a transaction is refunded, cancelled, or charged back, or if we later discover it was ineligible (including self-referrals or tracking manipulation), the related Commission will be reversed. We may offset or debit future payouts to correct prior overpayments.

11) Confidentiality & Data

Non-public Program information (rates, reporting, payout details) is confidential and may be used only to participate in the Program. You must protect user data obtained through referrals and comply with applicable privacy laws.

12) Limitation of Liability

To the maximum extent permitted by law, Zinlight will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or for lost profits, revenue, data, or goodwill, arising from or related to this Agreement, the Program, or our website/services.

13) Indemnification

You agree to indemnify, defend, and hold harmless Zinlight, its officers, directors, employees, contractors, and affiliates from and against any losses, claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your breach of this Agreement; (b) your promotional activities; (c) your websites, content, or channels; or (d) your negligence, misconduct, or violation of law.

14) Modifications

We may modify the Program or this Agreement at any time. The version posted on our site will state the “Last updated” date. Your continued participation after changes are posted constitutes acceptance of the revised terms. If you do not agree, you must stop participating.

15) General

• Entire Agreement. This Agreement is the entire agreement between you and Zinlight regarding the Program and supersedes prior proposals or understandings.
• Severability. If any provision is found unenforceable, the rest remains in effect.
• Assignment. You may not assign your rights or obligations without our written consent; we may assign ours.
• Governing Law. This Agreement is governed by the laws of the Federal Republic of Nigeria. Venue and jurisdiction lie with the competent courts in Nigeria.
• Notices. Program notices may be provided via the Partner dashboard, email, or our website.

16) Electronic Acceptance

By submitting the application or participating in the Program, you agree to these terms electronically. This electronic consent has the same legal force and effect as a handwritten signature.
