Partner Terms

1. About the Partner Programme

The Zinlight Academy School Partner Referral Programme allows approved partners to introduce families or users to Zinlight Academy and, where applicable, earn commission on qualifying referred memberships.

The programme is intended to support ethical school–family introductions to Zinlight Academy.

Participation in the programme does not create an employment, agency, franchise, joint venture, ownership or exclusive-distribution relationship.

2. Approval to Participate

Participation is subject to approval by Zinlight Academy.

Zinlight Academy may approve, decline, suspend or terminate participation where reasonably necessary.

Approval may depend on factors such as:

• the nature of the school or organisation;
• the intended method of promotion;
• compliance with these Partner Terms;
• accurate representation of Zinlight Academy;
• absence of fraudulent or misleading activity.

Approval to participate does not guarantee any minimum earnings.

3. Partner Responsibilities

Approved partners are expected to represent Zinlight Academy accurately and professionally.

Partners must:

• provide truthful information about Zinlight Academy;
• avoid misleading claims;
• avoid guaranteeing academic outcomes;
• use approved descriptions, links and promotional materials where provided;
• comply with applicable laws and school policies;
• avoid conduct that could damage the reputation of learners, schools or Zinlight Academy.

Partners must not present planned or future features as currently available.

This is particularly important for Zinlight Competition Arena, which is still in development.

4. Referral Tracking

A referral may be tracked through approved referral links, codes, identifiers or other systems provided by Zinlight Academy.

A commission is payable only where the qualifying referral can be reasonably attributed to the approved partner.

Referral attribution may depend on:

• the approved referral link or code used;
• the technical tracking available;
• the timing of the referral;
• whether another referral source was already associated with the user;
• whether the referred membership satisfies the programme rules.

Zinlight Academy is not responsible for referral attribution that cannot reasonably be verified because of deleted cookies, blocked tracking, incorrect links, user error or circumstances outside our reasonable control.

5. Qualifying Memberships

A qualifying referred membership is a paid Zinlight Academy membership that:

• is purchased by a genuine referred user;
• is successfully paid;
• is not fraudulent;
• is not cancelled or refunded in a way that removes the qualifying payment;
• complies with the programme rules.

Free trials do not themselves generate commission because no payment is received.

Commission becomes relevant when a qualifying paid membership is successfully completed.

6. Commission Rate

The programme is single-tier.

There is no second-tier or downstream commission.

Partners do not earn commission merely because another partner was introduced through them.

7. Self-Referral

Self-referral is not permitted.

A partner must not use their own referral link, code or attribution method to generate commission on purchases made by:

• the partner itself;
• the owner of the partner account;
• the person controlling the partner account;
• another account created primarily to generate commission improperly.

Where a school itself purchases access under a separate authorised school arrangement, any commission treatment must be expressly agreed by Zinlight Academy.

8. Family, Staff and Related-Party Purchases

A genuine purchase by a family member, employee, teacher or other related person is not automatically prohibited, provided that:

• the purchase is genuine;
• the membership is actually intended for legitimate use;
• the transaction is not structured primarily to create artificial commission;
• no false identity, duplicate account or deceptive arrangement is used.

Zinlight Academy may review related-party transactions where fraud or artificial referral activity is suspected.

9. Commission Calculation

Commission is calculated on the qualifying membership amount actually recognised as eligible under the programme.

Where applicable, commission calculations may exclude:

• refunded amounts;
• reversed payments;
• fraudulent payments;
• chargebacks;
• duplicate transactions;
• taxes or statutory charges where appropriate;
• payment-provider adjustments where applicable.

The current headline commission rate remains 30% of the qualifying amount.

10. Refunds, Reversals and Chargebacks

If a referred payment is later:

• refunded;
• reversed;
• charged back;
• identified as fraudulent;
• cancelled in a way that removes the qualifying revenue,

the related commission may be cancelled, reduced, withheld or reversed.

If commission has already been credited or paid, Zinlight Academy may offset the corresponding amount against future partner earnings where reasonable and lawful.

11. Commission Approval

Referral records may remain pending until Zinlight Academy has reasonable confidence that the related payment is valid.

Commission may be placed under review where:

• the transaction is recent;
• payment confirmation is incomplete;
• refund eligibility is still unresolved;
• fraud or duplicate-payment concerns exist;
• the referral source is unclear.

A pending commission is not considered finally payable until approved.

12. Payout Timing

Approved commission may be paid according to the payout schedule communicated by Zinlight Academy.

The exact payout frequency, minimum threshold, payment method and administrative process may be updated from time to time.

Zinlight Academy will seek to communicate material payout-rule changes reasonably.

Partners are responsible for providing accurate payment details where payment details are required.

13. Minimum Payout Threshold

Zinlight Academy may establish a reasonable minimum payout threshold to reduce excessive transaction costs.

Where such a threshold applies, approved unpaid commission may carry forward until the threshold is reached, subject to these Partner Terms.

The existence or amount of a threshold should be communicated before it is relied upon for payout.

14. Taxes and Regulatory Responsibilities

Partners are responsible for understanding and meeting any tax, reporting or regulatory obligations that apply to commission income received by them.

Zinlight Academy may make deductions or request information where required by applicable law.

Nothing in these Partner Terms constitutes tax advice.

15. Promotional Conduct

Partners may promote Zinlight Academy through appropriate channels such as:

• school communications;
• parent meetings;
• newsletters;
• approved social-media posts;
• school websites;
• direct parent communication;
• authorised events.

Promotional activity must be accurate, respectful and suitable for an educational environment.

Partners must not use:

• spam;
• deceptive advertising;
• false urgency;
• fabricated testimonials;
• misleading price claims;
• unauthorised discounts;
• fake scarcity;
• claims that Zinlight Academy guarantees academic success.

16. Use of Zinlight Academy Branding

Approved partners may be permitted to use selected Zinlight Academy names, logos or marketing materials solely for authorised partnership promotion.

Such permission does not transfer ownership of Zinlight Academy intellectual property.

Partners must not:

• alter the logo in a misleading way;
• create confusingly similar brands;
• register domains or social accounts that impersonate Zinlight Academy;
• imply ownership of Zinlight Academy;
• use the branding after partnership permission has ended where continued use has not been authorised.

Zinlight Academy may request correction or removal of inappropriate brand usage.

17. Statements About Pricing

Partners must use current authorised Zinlight Academy pricing.

Partners must not continue advertising outdated prices, trial periods or membership terms after being informed of an update.

Where prices change, the price displayed on Zinlight Academy's official Plans & Pricing or checkout page takes precedence.

18. Statements About Competition Arena

Zinlight Competition Arena is currently in development and is not yet available for live school competition events.

Partners may discuss Competition Arena only as an upcoming Zinlight Academy capability unless Zinlight Academy expressly announces that it is live.

Partners must not:

• accept payment on behalf of Zinlight Academy for unavailable Competition Arena services;
• promise a launch date that Zinlight Academy has not authorised;
• promise specific unfinished features as guaranteed;
• present the system as currently operational.

19. School Data and Learner Information

A partner must not send Zinlight Academy unnecessary personal information about learners.

Where learner information is shared for an authorised purpose, the partner must ensure it has an appropriate basis to share that information.

Partners should avoid sending sensitive personal information through ordinary referral communications unless specifically required and appropriately protected.

20. Fraud and Artificial Activity

The programme must not be used to generate artificial or fraudulent commission.

Prohibited conduct includes:

• fake accounts;
• fabricated memberships;
• repeated self-referrals;
• manipulated attribution;
• knowingly fraudulent payment activity;
• coordinated transactions intended mainly to generate commission;
• misuse of another person's identity.

Suspected fraud may result in commission withholding, reversal, suspension or termination.

21. Partner Records

Zinlight Academy may maintain reasonable records relating to:

• partner approval;
• referrals;
• qualifying transactions;
• commission;
• payouts;
• reversals;
• compliance issues.

Records may be retained, archived, anonymised or deleted in accordance with applicable operational, legal and privacy requirements.

22. No Guaranteed Income

Zinlight Academy does not guarantee that participation in the programme will generate any particular amount of income.

Earnings depend on actual qualifying referrals and payments.

Any examples of potential earnings are illustrative only unless expressly stated otherwise.

23. Non-Exclusivity

Unless expressly agreed in writing, the programme is non-exclusive.

Zinlight Academy may:

• work with other schools;
• work with other partners;
• market directly to families;
• operate other referral or promotional programmes.

Partners may also participate in other lawful educational arrangements, provided they continue to comply with these Partner Terms.

24. Changes to the Programme

Zinlight Academy may reasonably update:

• the commission structure;
• payout rules;
• attribution rules;
• promotional requirements;
• programme tools;
• eligibility conditions.

Where a material change affects future commissions, Zinlight Academy will seek to communicate the change before or when it becomes effective.

Changes should not be applied deceptively to commission that had already become properly payable under the previous rules.

25. Suspension

A partner account or referral participation may be suspended while a serious issue is investigated.

Reasons may include:

• suspected fraud;
• misleading promotion;
• misuse of Zinlight branding;
• artificial referral activity;
• repeated policy violations;
• security concerns.

During review, commission may temporarily remain pending.

26. Termination

Either party may end the partnership relationship.

Zinlight Academy may terminate participation immediately where there is serious fraud, deliberate deception, unlawful conduct, serious reputational harm or material misuse of the programme.

For less serious issues, Zinlight Academy may first request correction.

Termination does not automatically cancel commission that had already become legitimately payable before termination, unless the commission itself arose from fraud, reversal, breach or another disqualifying circumstance.

27. Effect of Termination

After termination:

• the partner should stop presenting itself as an active Zinlight Academy partner;
• authorised promotional use of Zinlight branding should stop unless otherwise agreed;
• new referrals may cease to qualify;
• valid outstanding commission may be reviewed and paid according to the applicable rules;
• fraudulent or reversed amounts may still be deducted or recovered where appropriate.

28. Independent Relationship

Partners remain independent organisations or persons.

Nothing in these Partner Terms gives a partner authority to:

• bind Zinlight Academy to a contract;
• make legal commitments on behalf of Zinlight Academy;
• collect money on behalf of Zinlight Academy unless specifically authorised;
• alter Zinlight Academy membership terms;
• represent themselves as employees of Zinlight Academy.

29. Limitation of Responsibility

Zinlight Academy will seek to operate the referral programme reasonably and accurately.

However, uninterrupted referral tracking cannot be guaranteed in every circumstance.

To the extent permitted by law, Zinlight Academy is not responsible for indirect loss arising solely from technical tracking failure, third-party systems or circumstances outside its reasonable control.

This does not remove rights or obligations that cannot lawfully be excluded.

30. Disputes

If a partner believes referral attribution, commission or payout has been handled incorrectly, the partner should contact Zinlight Academy with relevant details.

Both parties should first make a reasonable attempt to resolve the issue directly.

Zinlight Academy may review:

• referral records;
• transaction records;
• refund status;
• attribution information;
• programme compliance.

31. Changes to These Partner Terms

These Partner Terms may be updated as the referral programme, payment systems, Competition Arena, school services or legal requirements develop.

The current version will be published on the Partner Terms page with an updated revision date.

Material programme changes may also be communicated through reasonable partner channels where appropriate.

32. Governing Framework

These Partner Terms are intended to operate in accordance with applicable laws and regulations.

Zinlight Academy is operated from Nigeria, while approved partners or referred users may be located elsewhere.

Mandatory rights and obligations that apply under relevant law are not intended to be excluded.

33. Severability

If any provision of these Partner Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent legally permitted.
